SOUTH CARTHAGE – Pursuant to Article III, Section 3.01 of the bylaws of the Upper Cumberland Electric Membership Corporation, the annual meeting of the members will be held on Saturday, Sept. 10, 2011, in the cafeteria of Smith County Middle School, 134 SCMS Lane, South Carthage. Registration begins at 9 a.m. followed by the business meeting at 10 a.m.
At the annual meeting, UCEMC members receive reports from UCEMC staff regarding the cooperative’s activities during the past year.
The results of the annual board election will be announced and members will have the opportunity to vote on four proposed amendments to the UCEMC bylaws:
No. 1 – Proposed Amendment to Article IV, Section 4.04, Directorate Districts
Summary: Proposed Amendment No. 1 would rearrange two directorate positions to eliminate the expiring of two concurrent directorate positions in District One every third directorate year, which at present forces incumbent directors to oppose each other.
The two directorate positions the proposed amendment would rearrange are the District One position that received the most votes in the 2010 directorate election and the District Three position to which a member will be re-elected or elected in 2011.
The proposed amendment would extend the current term of the said District One director by one year and would extend the term of the District Three director elected in 2011 by two years.
The rearranging would be completed in the directorate election in 2016. Thereafter, one directorate term would expire in District One each year.
No. 2 – Proposed Amendment to Article IV, Section 4.08, Notice of District Elections
Summary: Proposed Amendment No. 2 would allow any member, eligible to vote, to cast his or her vote at any one of the cooperative’s four election precincts.
No. 3 – Proposed Amendment to Article IV, Section 4.11, Contested Elections
Summary: Proposed Amendment No. 3 would allow the board of directors, at its discretion, to authorize early voting on parts of up to two days during the same week as the regular election.
No. 4 – Proposed Amendment to Article IV, Section 4.02, Qualifications
Summary: Proposed Amendment No. 4 would restore qualifications for director to the original qualifications listed in the bylaws adopted on Sept. 8, 1990.
It would add a provision requiring all petitioners for candidacy to run for election to a board position and for candidates running for election or re-election to any board position to conform to any equitable policies, rules or standards established by the board of directors for conducting any directorate election and for review and for penalty for any failure to so do.
Members present at this year’s annual meeting will be entered into the drawing for door prizes.
